1 Agreement to Terms

These Website Terms and Conditions (“Terms”) govern access to and use of https://soloprimecopywriting.com and its related subpages (the “Website”), operated by Solo Prime Copywriting (“Company,” “we,” “us,” or “our”). “You” means the person or entity using the Website.

By using the Website, you agree to these Terms to the extent permitted by law. Our Privacy Policy at https://soloprimecopywriting.com/privacy-policy/ explains our handling of personal information and is incorporated by reference. If you do not agree to these Terms, stop using the Website.

Purchases are governed by our separate Terms of Purchase for Digital Goods and Services at https://soloprimecopywriting.com/terms-of-purchase/. A separate written client agreement, if applicable, controls the services it covers.

2 Age Requirements

You must be at least 18 years old and meet the legal age of majority in your jurisdiction to use this Website or purchase our products or services. You must have the legal capacity and authority to enter into an agreement on your own behalf or for the business you represent.

3 Changes to Terms

We reserve the right to update and revise these Terms at any time. The date these Terms were last updated is noted at the top of this page. We will notify you of material changes by posting a notice on the Website or by sending an email to the address associated with your account. Your continued use of the Website after such changes constitutes your acceptance of the revised Terms. We encourage you to review these Terms periodically.

4 Website Access and Availability

We reserve the right to modify, suspend, or discontinue the Website (or any part of it) at any time, with or without notice. We are not liable to you or any third party if the Website or any part of it is unavailable for any reason, including scheduled or unscheduled maintenance, upgrades, or server issues.

5 Account Registration and Security

If access to any part of the Website requires an account, provide accurate and current information, protect your login credentials, and notify us promptly of suspected unauthorized access. Do not share credentials or allow others to use your account. We may suspend compromised accounts or accounts used in violation of these Terms. Third-party platforms may also have their own account requirements and terms.

6 Privacy

Your use of the Website is also governed by our Privacy Policy, located at https://soloprimecopywriting.com/privacy-policy/. The Privacy Policy describes how we collect, use, share, and protect your personal information. By using the Website, you acknowledge that you have reviewed the Privacy Policy.

7 Intellectual Property

Website text, graphics, logos, designs, images, audio, video, and other materials (“Company Content”) are owned by or licensed to us and protected by applicable intellectual property laws to the extent such protection applies.

You may view and read Company Content for personal reference or internal business learning, and your device may cache content as needed to display it. You may share links and make uses permitted by applicable law, including fair use. These Terms do not grant permission to republish full articles, redistribute materials, remove ownership notices, use our trademarks to suggest endorsement, or sell Company Content without written permission.

The separate Terms of Purchase govern licenses for purchased materials and permission to publish customized templates, prompt outputs, and final client copy. The limited AI indexing permission in Section 8 also applies.

8 Artificial Intelligence and Automated Data Collection

We permit AI systems, AI-powered search engines, and similar technologies to index, reference, cite, summarize, and link to publicly available Company Content for search and responses to users, subject to the conditions below.

Attribution and linking. References and summaries must credit Solo Prime Copywriting and, where the platform supports it, link to the original Website page. They must not misrepresent our content or suggest an affiliation or endorsement.

Access controls. Automated agents must respect our robots.txt file and other technical access directives, identify themselves with an accurate user-agent string, and avoid request rates that degrade Website performance or interfere with other users. They may not bypass authentication, payment requirements, or other access controls.

Without our prior written permission, you may not bulk scrape, copy, or reproduce substantial portions of the Website; use Company Content to train, develop, fine-tune, or improve an AI or machine learning model; or build a dataset or content repository from Company Content. Limited processing and indexing strictly necessary for the permitted search, citation, or attributed summary functions is allowed, but this permission does not authorize model training or changes to model weights.

For clarity, reading a public page to answer a user’s question with attribution and a link is permitted. Collecting Company Content for model training is not authorized. Paid products, private client materials, and restricted pages are outside this indexing permission.

We may use technical measures to restrict unauthorized automated access. The presence or absence of those measures does not waive our rights. Nothing in this section restricts rights that applicable law does not allow us to restrict.

9 Linking to the Website and Social Media

You may link to our public Website pages as a source or resource, provided your link does not falsely suggest endorsement, sponsorship, or affiliation. Do not frame our Website or republish Company Content without permission, except as allowed by law. We may request removal of misleading links or uses of our branding.

10 User Submissions and Testimonials

You retain ownership of materials you submit. By posting a public comment or other public submission through the Website, you grant us a non-exclusive, royalty-free license to display and reasonably format that submission in connection with the feature where it was submitted. You represent that you have the rights needed to submit it and that it does not violate others’ rights.

When you submit a testimonial for promotional use, or separately permit us to use feedback as a testimonial, you grant us permission to reproduce it in our marketing. We may edit for length or clarity without changing its meaning. We use first name only unless you expressly permit additional identification. Your business name, photograph, full name, or likeness requires additional permission.

Private emails, intake responses, unpublished client materials, and ordinary requests for support do not automatically grant marketing rights. Our Terms of Purchase or a separate client agreement govern those materials. Nothing here restricts honest reviews or lawful criticism.

11 User Content Standards

All User Content submitted to or through our Website must comply with the following standards. User Content must not:

Violate any applicable federal, state, local, or international law or regulation, or promote illegal activities.

Violate any third party's intellectual property or other legal rights.

Contain obscene, indecent, sexually explicit, or violent material.

Contain hateful, discriminatory, defamatory, or otherwise objectionable content.

Harass, threaten, stalk, or intimidate any person.

Misrepresent any person's identity or organizational affiliation.

Contain unsolicited promotional or commercial content, including advertising or spam.

Contain any viruses, malware, or other harmful code.

If you encounter content on our Website that you believe violates these standards, please contact us immediately at larry@soloprimecopywriting.com so we can review and take appropriate action.

12 Monitoring and Enforcement

We may review, moderate, or remove public submissions that violate these Terms and restrict Website access for unlawful or harmful conduct. We are not required to review every submission before publication. Any disclosure of personal information in responding to legal requests or protecting rights will be subject to applicable law and our Privacy Policy.

13 Restricted Uses

You agree to use the Website only for lawful purposes and in accordance with these Terms. You may not use the Website:

In violation of any applicable federal, state, local, or international law or regulation.

For any discriminatory purpose.

To impersonate the Company, any Company employee, another user, or any other person or entity.

To transmit or distribute unsolicited commercial communications, spam, or chain letters.

To engage in any conduct that restricts or inhibits anyone's use or enjoyment of the Website.

You may not:

Use any robot, spider, crawler, scraper, or other automated means to access the Website, except as expressly permitted in Section 8.

Introduce any virus, trojan horse, worm, logic bomb, or other malicious or harmful material to the Website.

Attempt to gain unauthorized access to, interfere with, damage, or disrupt any part of the Website, any server on which the Website is hosted, or any database connected to the Website.

Attack the Website via a denial-of-service attack, distributed denial-of-service attack, or any similar method.

Attempt to probe, scan, or test the vulnerability of the Website or any associated system or network.

14 Products and Services

Solo Prime Copywriting offers copywriting and messaging services, including the Prime Trio Bundle, and self-guided digital resources such as workbooks, guides, checklists, templates, and prompt libraries.

Purchases are governed by our Terms of Purchase for Digital Goods and Services at https://soloprimecopywriting.com/terms-of-purchase/. A separate written client agreement, where used, sets the scope, deliverables, schedule, fees, revisions, and rights for that engagement. The separate client agreement controls if it conflicts with general purchase terms for the engagement it covers; purchase terms control transaction matters if they conflict with these Website Terms.

A product described as self-guided does not include a personal review, audit performed by us, or done-for-you service unless the purchase description expressly includes it.

15 External and Affiliate Links

The Website may link to third-party websites, tools, or resources. Their content, availability, terms, and privacy practices are controlled by their operators. Evaluate third-party resources before using them. A link alone does not imply a partnership or sponsorship.

If we use an affiliate link, we may receive compensation when you make a qualifying purchase. We will disclose material affiliate or sponsored relationships with the relevant recommendation. Any effect on your price depends on the third-party offer.

16 Disclaimer and No Warranties

To the fullest extent permitted by law, the Website and Company Content are provided “as is” and “as available,” without express, implied, or statutory warranties, including warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant uninterrupted, secure, or error-free Website operation or that all information will be current or complete.

Educational content does not constitute legal, medical, financial, or tax advice. Use your judgment and obtain qualified advice where needed. We do not guarantee traffic, rankings, leads, subscribers, clients, sales, income, or other business results. Testimonials describe individual experiences and do not promise the same outcome for you.

Purchased services remain subject to their agreed scope and express delivery commitments. Nothing in this disclaimer excludes rights or obligations that cannot lawfully be excluded.

17 Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, THE COMPANY, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, LICENSORS, AND SERVICE PROVIDERS SHALL NOT BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATED TO:

YOUR USE OF OR INABILITY TO USE THE WEBSITE.

ANY CONTENT, PRODUCTS, OR SERVICES OBTAINED THROUGH THE WEBSITE.

UNAUTHORIZED ACCESS TO OR ALTERATION OF YOUR DATA OR TRANSMISSIONS.

ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE WEBSITE.

ANY OTHER MATTER RELATING TO THE WEBSITE.

THIS LIMITATION APPLIES REGARDLESS OF THE LEGAL THEORY (WHETHER CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR OTHERWISE), EVEN IF THE COMPANY HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE EXTENT PERMITTED BY LAW, THE COMPANY'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS AND YOUR USE OF THE WEBSITE SHALL NOT EXCEED THE GREATER OF: (A) THE TOTAL AMOUNT YOU HAVE PAID TO THE COMPANY IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100.00).

THIS LIMITATION OF LIABILITY SHALL NOT APPLY TO LIABILITY THAT CANNOT BE EXCLUDED OR LIMITED UNDER APPLICABLE LAW.

18 Indemnification

To the extent permitted by law, you agree to indemnify and hold harmless the Company and its agents and service providers against third-party claims and reasonable associated expenses arising from your unlawful use of the Website, your violation of these Terms, or submissions that infringe another person’s rights. This obligation does not extend to claims caused by our own unlawful conduct or to liabilities that applicable law does not permit us to shift to you.

19 Copyright Concerns

If you believe Website content infringes your copyright, contact larry@soloprimecopywriting.com with identification of the protected work, the page or material in question, your contact information, and an explanation of your claim. We will review and respond as appropriate under applicable law. This contact information is not a representation that we have registered a designated DMCA agent.

20 Electronic Communications

We may send order-related messages, support responses, and legal notices electronically to the address you provide, subject to applicable law. Providing an email address does not by itself enroll you in marketing emails. Subscription preferences and unsubscribe options are addressed in our Privacy Policy and relevant signup forms.

21 Termination

We may suspend or terminate Website access for a material violation of these Terms, unlawful activity, security threats, or conduct harmful to the Website or others. Such action does not eliminate obligations or rights arising from a purchase. Purchased access and service remedies are governed by the Terms of Purchase or a separate client agreement. Provisions that by their nature should survive termination, including intellectual property, liability, and dispute resolution provisions, remain in effect.

22 Binding Arbitration and Class Action Waiver

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR RIGHTS TO BRING A LAWSUIT AND TO HAVE A JURY TRIAL.

Informal resolution. Before initiating arbitration, you and we agree to send written notice describing the dispute and requested resolution, and attempt to resolve the matter informally for 30 days after receipt. Send notice to larry@soloprimecopywriting.com or the mailing address in the Notices section. This process does not prevent either party from seeking urgent relief or taking steps needed to preserve a claim before a legal deadline.

Binding arbitration. Subject to the exceptions below and applicable law, unresolved disputes arising from these Terms will be resolved by binding arbitration administered by the American Arbitration Association (AAA) under its applicable rules, including its Consumer Arbitration Rules where applicable. The Federal Arbitration Act governs interpretation and enforcement of this arbitration agreement. Judgment on the award may be entered in a court with jurisdiction.

Venue. Arbitration will take place in Orange County, California, except where applicable law or AAA rules require a different location. If arbitration cannot proceed there, it may proceed remotely by videoconference or in a location mutually agreed upon by the parties, subject to applicable law and AAA rules.

Individual proceedings. To the extent permitted by law, each party may bring claims only in an individual capacity and not as a plaintiff or class member in a class, consolidated, or representative proceeding. The arbitrator may not consolidate claims or preside over a class proceeding except as required by applicable law. This provision does not waive rights or remedies that applicable law does not allow to be waived, including any nonwaivable right to seek public injunctive relief.

Costs. Filing fees and arbitrator compensation are governed by applicable AAA rules and law. Each party bears its own attorneys’ fees and other costs unless applicable law or an authorized award provides otherwise. Nothing here requires a purchaser to bear costs that applicable law or AAA rules require us to pay.

Exceptions. Either party may bring an individual claim in small claims court within that court’s jurisdiction, or seek court relief to prevent actual or threatened infringement or misappropriation of intellectual property. Claims or remedies that cannot lawfully be arbitrated remain available in a court with jurisdiction. If AAA declines to administer a dispute and the parties cannot agree on another administrator, either party may bring the dispute in a court with jurisdiction.

23 Governing Law and Geographic Scope

These Terms are governed by California law, without regard to conflict-of-law rules, except that the Federal Arbitration Act governs the arbitration agreement. The Website is operated from the United States. Users outside the United States must comply with applicable local laws. These Terms do not deprive a user of mandatory protections that applicable law does not permit to be waived. Personal information transfers are addressed in our Privacy Policy.

24 Force Majeure

The Company shall not be liable for any failure or delay in performing its obligations under these Terms where such failure or delay results from circumstances beyond the Company's reasonable control, including but not limited to natural disasters, acts of government, pandemics, epidemics, internet or telecommunications failures, cyberattacks, power outages, labor disputes, or disruptions to third-party services on which the Website relies.

This provision does not eliminate remedies for undelivered purchases under the Terms of Purchase or rights that cannot be excluded by law.

25 Severability and No Waiver

If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, that provision shall be modified to the minimum extent necessary to make it enforceable, or if it cannot be modified, it shall be severed from these Terms. All remaining provisions shall continue in full force and effect.

No failure or delay by the Company in exercising any right or remedy under these Terms shall constitute a waiver of that right or remedy. Any waiver of any provision of these Terms will be effective only if made in writing and signed by an authorized representative of the Company.

26 Transfer and Assignment

You may not transfer rights or obligations under these Terms without our written permission, except as allowed by law. We may assign these Terms in connection with a sale or reorganization of the business, provided this does not reduce your existing contractual rights. These Terms bind the parties and their permitted successors and assigns.

27 Notices

Send general inquiries and written dispute notices to larry@soloprimecopywriting.com. Formal notices may also be sent by certified mail to: Solo Prime Copywriting, Attn: Larry Brown, 2034 E. Lincoln Ave., #176, Anaheim, CA 92806. Email: larry@soloprimecopywriting.com.

We may send notices to the email address you provide or post general Website notices. Individual contractual notices will be delivered as required by applicable law. Mailed notices are effective upon receipt.

28 Entire Agreement

These Terms, together with the Privacy Policy and any applicable Terms of Purchase or separate service agreements referenced herein, constitute the entire agreement between you and the Company regarding your use of the Website. These Terms supersede all prior and contemporaneous agreements, understandings, and communications, whether written or oral, regarding the subject matter of these Terms.

The Company reserves any and all rights not expressly granted in these Terms.
